The paralegal would be an important part of our team in handling formations, compliance and corporate governance, and financings.This position is available as a hybrid work schedule.The responsibilities include but are not limited to:Prepare corporate documents, such as charter documents and board and shareholder actionsProcess stock and option administration, including drafting agreements and preparing reportsManage capitalization processes and records in equity management platforms, including Rule 701 analysisConduct research to prepare and manage corporate and securities filingsPrepare and assist with EDGAR code applications and accountsCommunicate with clients, holders, directors, investors, and auditorsHandle due diligence and closing processesCompile and distribute closing documents and closing volumeAssist with annual compliance mattersProvide support for franchise taxes and notices to clientsHandle daily corporate maintenance workOrganize client records and maintain filesInput time entry dailyThe job requirements are:Bachelor's degree or paralegal certificate at accredited college or university3+ years of corporate paralegal experience at law firmStrong working knowledge of corporate tasks for private companiesUnderstanding of corporate governance matters and transactional workExperience with securities and corporate lawsExperience in capitalization management platforms such as Carta, Pulley and ShareworksProficient with Excel spreadsheetsDetail-oriented and organized, with excellent analytical skillsExcellent communication and prioritization skills to manage projects simultaneously under deadline pressureThe primary location for this job posting is in Seattle. The actual base pay offered will depend upon a variety of factors, including but not limited to the selected candidate's qualifications, years of relevant experience, level of education, professional certifications and licenses, and work location.
