Mid-Level Mergers & Acquisitions Associate AttorneyDirect Counsel is seeking a Mid-Level Mergers & Acquisitions Associate Attorney to join a highly regarded national law firm's Corporate Practice. This opportunity is ideal for an attorney with 3–5 years of M&A experience who is looking to work on sophisticated middle-market transactions while taking on meaningful responsibility and developing strong client relationships.The successful candidate will collaborate closely with partners and senior attorneys on complex transactions involving private companies, strategic buyers and sellers, and investors across a variety of industries.ResponsibilitiesSupport middle-market mergers and acquisitions, including buy-side and sell-side transactionsAssist with transaction structuring, due diligence, negotiation, and closing processesDraft and negotiate: Purchase agreementsDisclosure schedulesAncillary transaction documentsClosing documentationCoordinate due diligence reviews and manage transaction workstreamsAdvise clients on corporate governance and transactional matters related to M&A dealsCollaborate with attorneys across multiple practice areas, including tax, employment, real estate, intellectual property, and technology transactionsWork directly with clients, partners, and deal teams to manage transaction timelines and deliver high-quality legal servicesQualificationsJ.D. from an accredited law schoolAdmission (or eligibility for admission) in the state where the position is based3–5 years of mergers and acquisitions experience at a law firmExperience representing private companies in M&A transactions preferredStrong drafting, negotiation, analytical, and organizational skillsAbility to manage multiple matters in a fast-paced, collaborative environmentDemonstrated commitment to building a transactional practice and handling sophisticated corporate mattersWhy Join This Firm?This nationally recognized Corporate Practice offers attorneys the opportunity to work on complex middle-market transactions while receiving hands-on experience throughout the entire deal lifecycle.
