Job Title: Description - ECVC Associate - Jr. to Mid-level Job ID: 89181 Location: Seattle, Washington Overview: Our client is seeking a junior to midlevel associate to join our Emerging Companies & Venture Capital (ECVC) practice in Seattle. This associate will work closely with partners in the corporate group to support a growing practice representing emerging companies, founders, and venture capital investors. This role offers the opportunity to work on sophisticated transactions for innovative companies across the technology and startup ecosystem while developing strong client relationships and gaining meaningful responsibility on deal teams. What you will be doing:
- Advise emerging growth companies and founders on corporate governance, entity formation, and day-to-day legal matters throughout the company lifecycle
- Support venture capital financings, including seed, Series A, and later-stage equity financings
- Represent venture capital funds and other investors in venture investments
- Assist with strategic transactions involving emerging companies, including mergers, acquisitions, and secondary transactions
- Draft and negotiate transaction documents, including financing documents, governance materials, and investor rights agreements
- Work closely with founders and management teams on strategic and operational matters
- Collaborate with attorneys across the firm in areas such as technology transactions, privacy and security, and other corporate specialties
- 2-4 years of experience in emerging companies, venture capital, or corporate transactional work at a law firm
- Experience with venture financings, startup formation, and general corporate matters preferred
- Strong drafting, negotiation, and analytical skills
- Ability to manage multiple matters in a fast?paced, team?oriented environment
- Interest in working with technology companies, founders, and venture investors
- J.D. from an accredited law school and admission to the California Bar
