We are assisting a publicly traded, growth-oriented energy company in identifying a Senior Counsel / Assistant General Counsel – Corporate & Securities to join its legal team. Exact title may vary based on experience. Our client is a leading natural gas producer with a diversified energy platform spanning upstream production, midstream infrastructure, natural gas-fired power generation, and carbon capture, utilization and storage (CCUS). This is an exciting opportunity for a corporate and securities attorney to join a high-performing, entrepreneurial legal team and work directly with the Chief Legal Officer, senior management, the Board of Directors and key business functions.
The Role
The Senior Counsel / Assistant General Counsel will serve as a key legal advisor on corporate and securities matters, with significant responsibility for the company's SEC reporting and compliance, corporate governance, Board matters, M&A and other strategic transactions. The position offers substantial visibility and the opportunity to work closely with senior leadership on matters that are critical to the company's continued growth. Oil and gas transactional experience is also a plus.
Key Responsibilities
- Serve as a subject matter expert on corporate and securities matters.
- Advise on SEC and NYSE reporting, disclosure and compliance requirements, including Forms 10-K, 10-Q, 8-K, S-8 and registration statements.
- Lead preparation of the annual proxy statement and support the annual meeting of stockholders.
- Advise on earnings releases, investor materials, management presentations and other communications.
- Provide legal counsel and support to the Board of Directors and Board Committees.
- Support M&A, strategic corporate transactions, and equity and debt financings.
- Advise on equity-based compensation, executive compensation and Section 16 reporting.
- Counsel the company on corporate governance, securities trading policies and Regulation Fair Disclosure.
Qualifications
- J.D. from an accredited U.S. law school with strong academic credentials.
- At least 5 years of relevant corporate and securities experience.
- Strong experience with SEC reporting, disclosure and public-company compliance.
- Solid understanding of corporate governance and experience working with Boards of Directors and senior management.
- Experience with M&A and other significant corporate transactions.
- Experience with a national or international law firm preferred.
- Oil and gas, energy or related industry experience is a plus.
- Excellent judgment, communication and interpersonal skills.
- Ability to work independently and collaboratively in a fast-paced environment.
Remote or Denver Location
Company headquarters is in Denver, CO. Remote work will be considered, however, Denver working hours will be observed (Mountain Time).
Depending on location, some early morning and late evening calls/meetings could be required.
Compensation
Competitive salary, commensurate with experience (Base Pay: $230,000 - $285,000)
Performance-based bonus eligibility and equity eligibility
