Corporate M&A AssociateDirect Counsel represents a prestigious AmLaw firm seeking a Corporate M&A Associate to join its growing Corporate Transactions practice.Locations: Charleston, SC | Charlotte, NC | Miami, FL | Nashville, TN | Pittsburgh, PA | Portland, OR | Raleigh, NC | Seattle, WAThis opportunity is ideal for an attorney with 3–5 years of Mergers & Acquisitions experience, with private equity transaction experience preferred.Responsibilities:Draft, review, and negotiate merger agreements, stock purchase agreements, asset purchase agreements, letters of intent, and related transaction documentsManage M&A transactions from diligence through closingConduct and oversee legal due diligence reviewsAdvise clients on corporate governance and general business mattersDraft and negotiate partnership agreements, joint venture agreements, and LLC operating agreementsCoordinate transaction workstreams and closing processesAssist with representation and warranty insurance underwriting mattersWork directly with clients, opposing counsel, and deal teams on complex transactionsQualifications:JD from an accredited law schoolActive bar admission and good standing3–5 years of corporate M&A experience at a law firmExperience handling acquisitions, dispositions, and corporate transactionsPrivate equity transaction experience preferredStrong drafting, negotiation, analytical, and project management skillsExcellent written and verbal communication abilitiesStrong academic credentials and commitment to client serviceCompensation & Benefits:Salary: $205,000 – $340,000Performance-based bonus opportunitiesComprehensive medical, dental, vision, life, and disability insurance401(k) retirement planGenerous paid time off and parental leaveProfessional development, CLE, and mentorship opportunitiesHybrid work flexibilityComprehensive benefits package
