Associate General CounselThe Associate General Counsel ensures rail and other transportation-related documents and agreements are prepared according to OmniTRAX policy. Assists General Counsel with litigation and employment related claims, including primary responsibility for specific claim or litigation matters. Periodic updates to OmniTRAX management and company ownership regarding legal and railroad issues.
Negotiates contracts for the managed companies of OmniTRAX, Inc., including, but not limited to, contracts involving purchasing, operating and commercial activities, land services and independent contractors and joint facilities. Reviews and assists Commercial and Operational departments with Railroads' public tariffs, interline rates, and contracts with outside rail entities. Works with other department attorneys to create and update contract forms within proper processes and software programs for Commercial, Real Estate, Strategic Initiative (M&A), Purchasing, Procurement, Operations, and Engineering, and handle customer issues as needed.
Works with other departmental attorneys in performing due diligence activities for potential target acquisitions and purchases. Oversees OmniTRAX contract procurement protocol and provides input for updates and changes to policies and procedures. Coordinates efforts of various OmniTRAX departments to assist with needs and to meet company's strategic goals.
