Mid-Level Corporate Associate Attorney (Denver)
Direct Counsel is seeking a Mid-Level Corporate Associate to join a national AmLaw firm in its Denver office. This role supports a busy and growing M&A and private equity practice and offers exposure to a broad range of sophisticated corporate transactions.
The ideal candidate will have 3–5 years of corporate transactional experience, with a focus on public and/or private company M&A and related corporate matters. Experience with private equity transactions, transactional energy or infrastructure work, and capital markets–related M&A is highly desirable. This position is well-suited for an associate with strong drafting skills, sound business judgment, and the ability to manage client relationships effectively.
Key responsibilities include:
- Support and execute public and private company M&A transactions
- Draft and negotiate acquisition agreements and related transaction documents
- Assist with private equity transactions and related corporate matters
- Advise clients on transactional energy, infrastructure, and capital markets–related M&A matters, as applicable
- Manage transaction workflows and timelines from diligence through closing
- Collaborate with partners and deal teams to deliver high-quality client service
- Maintain regular communication with internal teams and external clients
Qualifications include:
- JD from an accredited law school with excellent academic credentials
- 3–5 years of corporate transactional experience, including M&A
- Strong working knowledge of acquisition agreements and ancillary deal documentation
- Prior experience at a large regional, national, or international law firm preferred
- Exceptional interpersonal, communication, and organizational skills
- High degree of professionalism, maturity, and business acumen

Compensation includes:
- Competitive compensation commensurate with experience
- Colorado pay range: $260,000–$365,000, depending on qualifications and experience
