Duties
- Advise financial institutions on securities offerings under the Securities Act of 1933.
- Represent issuers and underwriters in registered and exempt transactions.
- Handle disclosure requirements and offering documentation.
- Manage compliance matters under the 1933 Act.
- Engage in esoteric asset-backed securities offerings and registered equity underwriting offerings.
- Participate in public-company M&A and at-the-market offerings.
- Work with special purpose acquisition companies.
Requirements
- 4-6 years of relevant experience.
- Familiarity with disclosure requirements and compliance under the 1933 Act.
- Background in general capital markets or leveraged finance preferred.
- Strong interest in securities law.
- Superior academic credentials.
- Prior experience at a large law firm.
Education
Juris Doctor (JD) degree.
Certifications
Admitted to practice law in New York.
