Position Overview
A growing law firm is seeking an experienced Corporate & Transactional Attorney to join its expanding practice. This is an excellent opportunity for an attorney who enjoys building long-term client relationships, handling sophisticated business transactions, and serving as a trusted legal advisor to a diverse client base.
The firm offers a collaborative environment with flexible remote work options. Attorneys will have the opportunity to manage matters independently while working on a broad range of corporate and business law issues.
Key Responsibilities
- Advise clients on a wide range of corporate and transactional legal matters.
- Handle entity formation, structuring, and corporate governance.
- Draft, review, and negotiate commercial contracts and agreements.
- Prepare and negotiate vendor, supplier, licensing, and service agreements.
- Lead and support mergers, acquisitions, asset purchases, and business sale transactions.
- Draft employment and independent contractor agreements.
- Serve as outside general counsel, providing ongoing legal and strategic business advice.
- Manage client matters from inception through completion with minimal supervision.
- Develop and maintain strong client relationships while delivering practical legal solutions.
Qualifications
- Active license to practice law in at least one U.S. jurisdiction.
- Minimum of 3 years of experience in corporate, business, or transactional law.
- Strong experience drafting, reviewing, and negotiating complex commercial agreements.
- Significant involvement in mergers and acquisitions (M&A) transactions is highly preferred.
- Experience advising business clients on corporate and commercial matters.
- Hospitality or travel industry experience is a plus but not required.
- Ability to independently manage a full caseload and client relationships.
- Excellent analytical, communication, negotiation, and problem-solving skills.
- Highly organized, adaptable, and capable of managing multiple priorities in a fast-paced environment.
- Willingness to travel as needed.
