Duties
- Negotiate and draft SaaS and cloud-based agreements, software licenses, and service agreements.
- Handle outsourcing, supply, distribution, and manufacturing agreements.
- Advise on IP and tech issues in corporate transactions, including M&A and private equity.
- Conduct diligence on chain of title, licenses, and data processing matters.
- Assist with transaction documents related to technology and IP.
Requirements
- 2-4 years of relevant experience in technology transactions.
- Active member of the bar in the state of practice.
Education
- Juris Doctor (JD) degree.
Certifications
- Bar admission in the practicing state.
Skills
- Strong analytical and drafting skills.
- Experience with complex commercial transactions.
- Knowledge of IP and technology-related legal issues.
