In-House Tax Attorney – M&A (Fortune 500 Company)

Position Overview

My client is seeking an experienced in-house Tax Attorney to support a Fortune 500 organization’s mergers and acquisitions activity. This role will provide legal tax guidance across domestic and international transactions, partnering closely with corporate development, finance, and external advisors to structure, execute, and integrate acquisitions and strategic investments.

The role is highly transactional and advisory in nature, with a focus on tax‑efficient structuring, due diligence, and post‑acquisition integration within a complex global enterprise.

Key Responsibilities

  • Provide tax legal advice on domestic and cross-border mergers, acquisitions, divestitures, joint ventures, and restructurings
  • Advise on transaction structuring to optimize tax efficiency and manage risk exposure
  • Review and negotiate tax provisions in transaction agreements and related documentation
  • Support deal teams throughout the full transaction lifecycle, from initial diligence through post‑close integration
  • Lead or coordinate tax due diligence efforts on target companies and acquisition opportunities
  • Identify and assess tax risks, exposures, and structuring considerations
  • Prepare detailed findings and recommendations for internal stakeholders and executive leadership

Integration & Planning

  • Support post‑acquisition integration efforts, including legal entity structuring and tax alignment
  • Collaborate with finance and accounting teams on purchase accounting and tax‑related integration matters
  • Assist in developing long‑term tax strategies for acquired businesses

Regulatory & Compliance

  • Monitor and interpret evolving tax laws impacting M&A transactions and corporate structuring
  • Ensure compliance with applicable domestic and international tax regulations
  • Coordinate with external counsel and advisors on complex tax matters

Cross-Functional Partnership

  • Work closely with corporate development, treasury, finance, legal, and business unit leaders
  • Serve as a key advisor in evaluating strategic transactions and investment opportunities
  • Interface with external law firms, tax advisors, and auditors as needed

Strategic Projects

  • Participate in enterprise-wide restructuring and optimization initiatives
  • Support development of tax‑efficient capital allocation strategies
  • Contribute to special projects related to international expansion and corporate transactions

Qualifications

  • Juris Doctor (JD) from an accredited law school
  • 7–12+ years of experience in corporate tax law, with significant M&A exposure
  • Experience in a law firm, Big 4, and/or in-house corporate legal department
  • Strong knowledge of domestic and international tax principles as applied to transactions
  • Strong drafting, negotiation, and communication skills
