Key Responsibilities
- Represent clients in complex structured finance and secured lending transactions.
- Advise on repurchase and warehouse facilities, syndicated credit facilities, securitizations, and other secured finance matters.
- Draft, review, and negotiate complex transaction documents, including:
- Repurchase agreements
- Credit agreements
- Pooling and servicing agreements
- Indentures
- Private placement memoranda
- Offering materials
- Intercreditor agreements
- Advise clients on financing structures supporting mortgage-backed and asset-backed lending platforms.
- Counsel clients on servicing, collateral, and transaction structuring issues.
- Collaborate with multidisciplinary teams to manage transactions from structuring through closing.
- J.D. from an accredited law school with excellent academic credentials.
- Active Bar membership in good standing.
- 4-6 years of experience in structured finance, securitization, or secured finance transactions.
- Experience advising on repurchase facilities, warehouse lending, syndicated credit facilities, and securitizations.
- Strong experience drafting and negotiating structured finance transaction documents.
- In-depth understanding of financing structures supporting mortgage-backed and asset-backed platforms, including servicing and collateral issues, is strongly preferred.
- Excellent analytical, drafting, negotiation, and client counseling skills.
- Outstanding written, verbal, and interpersonal communication abilities.
- Base salary: $310,000-$390,000 , depending on experience, qualifications, and other applicable factors.
