A highly respected law firm is seeking a Structured Finance & Asset Securitization Associate or Counsel to join its growing finance practice. This opportunity offers the chance to work on sophisticated and complex financing transactions alongside an experienced team representing financial institutions, lenders, issuers, investors, and other market participants.
Finance Attorney Key Responsibilities
- Represent companies, financial institutions, lenders, issuers, investors, and other market participants in a broad range of structured finance and financing transactions
- Advise clients on complex structured finance matters, including asset-backed securitizations, warehouse facilities, and other specialty finance transactions
- Counsel clients on the acquisition, disposition, and financing of portfolios of financial assets across a variety of asset classes
- Represent borrowers and lenders in secured and unsecured credit facilities
- Draft, review, and negotiate offering documents, financing agreements, transaction documents, security instruments, and related closing documentation
- Analyze and advise on commercial, securities, and regulatory considerations impacting finance transactions
- Structure and execute financing transactions involving a wide range of asset classes, including receivables, consumer assets, equipment, mortgage-related assets, and other financial products
- Advise clients on debt and equity capital markets transactions and related financing strategies
- Work closely with clients, opposing counsel, underwriters, trustees, and financial institutions throughout all phases of a transaction
Finance Attorney Qualifications
- JD from an accredited law school
- Active bar admission in at least one U.S. jurisdiction
- 2+ years of structured finance, asset securitization, capital markets, leveraged finance, banking, or related transactional experience within a law firm setting
- Experience representing financial institutions, issuers, lenders, investors, underwriters, or corporate borrowers in financing transactions
- Strong experience drafting and negotiating complex financing, offering, and transaction documents
- Knowledge of commercial law, securities law, and regulatory issues affecting structured finance and capital markets transactions
- Experience working with secured and unsecured credit facilities and asset-based financing structures
- Ability to manage multiple transactions simultaneously and effectively coordinate deal teams
- Strong analytical, drafting, negotiation, and client relationship skills
- Excellent academic credentials and a commitment to delivering exceptional client service
