The Sr. Business Analyst – Corporate Secretary is a trusted advisor to company executives and Board of Directors and possesses a customer-centric focus, capable of ensuring compliance and confidentiality in all areas of responsibilities.
The position includes responsibilities in the following areas: Board of Director compensation, insider trading, Section 16 reporting, parent and subsidiary related functions, shareholder services, certain regulatory filings and compliance with certain Securities and Exchange Commission (SEC), New York Stock Exchange (NYSE) Listed Company Manual regulations, federal, state and laws, rules, and regulations. The position has responsibilities to lead projects related to corporate governance, such as support relating to Board and Board Corporate Governance Committee matters, proxy statement/Annual Meeting of Shareholders and certain shareholder related matters. The position is located at the corporate office in Akron, Ohio, and reports to the Assistant Corporate Secretary.Responsibilities include:Performing all responsibilities in connection with stock-based equity compensation programs for Directors, including thoroughly understanding and applying the plan related documents, 10b5-1 plan administration, coordinating releases and payouts, dividends, regular equity related reporting, cost basis, communications, service level agreements, share ownership guidelines reporting, and working closely with the external vendor to ensure accuracy in the record-keeping databaseDeveloping in-depth knowledge and understanding of SEC Section 16 related requirements regarding insider stock trading and researching activities for SEC Section 16 compliance.
