We’re seeking an experiencedSenior Corporate Paralegal to support a international law firm in New York. This role is ideal for a detail-oriented professional with strong corporate transactional experience who thrives in a fast-paced, deadline-driven environment.

Salary: $ 115k-145k

Key Responsibilities

• Provide advanced paralegal support to attorneys on complex corporate matters.
• Support transactions throughout the full deal lifecycle, including mergers and acquisitions, capital financings, and public offerings.
• Assist with the formation, maintenance, and dissolution of corporations, LLCs, partnerships, and other business entities.
• Prepare, coordinate, and assist with SEC registration statements and related filings.
• Conduct EDGAR and UCC searches, coordinate good standing certificate requests, maintain corporate governance records, support due diligence reviews, and prepare stock certificates.
• Assist with departmental administrative responsibilities and special projects.
• Collaborate with and provide guidance to junior paralegals as needed.

Qualifications

• Bachelor’s degree required.
• 5+ years of law firm or in-house paralegal experience.
• Strong corporate transaction knowledge, organizational skills, and attention to detail.
• Excellent communication, judgment, and confidentiality.
• Proficiency in Microsoft Office, Westlaw, Intelligize, Bloomberg Law, and Adobe.
• NY Notary Public commission and leadership experience preferred.
