The Senior Director, Corporate Counsel reports directly to the General Counsel and serves as a key legal advisor to senior leadership. This role provides strategic legal guidance across a wide range of corporate, transactional, and regulatory matters while supporting ongoing business operations and long-term initiatives.

Key Responsibilities
- Provide timely, pragmatic, and business-focused legal advice to senior management and internal stakeholders
- Identify, assess, and mitigate legal and business risks to support strategic decision-making
- Draft, review, and negotiate complex commercial agreements, including:
- Vendor and service provider contracts
- Licensing agreements
- Technology agreements
- Advise on corporate structure, governance, and organizational matters
- Lead legal aspects of strategic transactions, including:
- Partnerships
- Acquisitions
- Restructurings
- Financings
- Collaborate with finance and tax teams on federal and state tax considerations
- Provide legal guidance on employment, compliance, and HR-related matters
- Draft and negotiate financial agreements, including:
- ISDA agreements
- FCM agreements
- Repurchase (repo) agreements
- Securities lending and collateral agreements
- Oversee intellectual property matters, including:
- Licensing of index and data
- Trademark, copyright, and patent filings
- Support business development and product innovation initiatives
- Drive internal legal process improvements and operational efficiencies
- Manage and coordinate with external counsel
- Juris Doctor (JD) and active membership in good standing with a state bar
- 15+ years of legal experience, preferably within asset management, investment management, or a top-tier law firm
- Strong expertise in:
- Complex commercial contracts
- Corporate governance
- Strategic transactions
- Demonstrated ability to solve complex legal issues in a proactive, business-oriented manner
- Experience managing internal teams and external legal resources
- Strong business judgment and risk assessment capabilities
- Excellent written and verbal communication skills
- Ability to manage multiple priorities and meet deadlines in a fast-paced environment
- High attention to detail with strong organizational and analytical skills
- Self-starter with the ability to work independently and drive initiatives forward
Salary Range: $275,000 - $315,000
