Job Description
- Lead and manage mergers, acquisitions, and other sophisticated corporate transactions from start to finish.
- Draft, review, and negotiate purchase agreements, operating agreements, commercial contracts, employment agreements, leases, and related transactional documents.
- Advise clients on corporate governance, business strategy, risk management, and regulatory compliance.
- Structure complex business transactions and provide practical legal guidance throughout each stage of the deal.
- Conduct legal research and provide strategic recommendations on corporate and commercial matters.
- Collaborate directly with clients and serve as a trusted legal advisor throughout ongoing business operations.
- Support related business and transactional matters for healthcare professionals and privately held companies.
- Active Georgia Bar license.
- 7+ years of corporate transactional legal experience.
- Significant hands-on M&A transaction experience.
- Strong background drafting and negotiating complex business agreements.
- Excellent negotiation, analytical, and legal writing skills.
- Ability to independently manage sophisticated client matters.
- Healthcare industry experience is a plus but not required.
- Strong communication and client relationship skills.
