A law firm seeks a Senior Corporate Attorney in Dallas, Texas. This role involves advising on corporate structuring, joint ventures, and investment vehicles, with a focus on securities compliance. The position offers growth into a leadership role within the firm's corporate division.

Duties

• Advise on entity formation and structuring, including LLCs and LPs.
• Draft and negotiate joint venture and partnership agreements.
• Design and oversee investment structures for real estate transactions.
• Advise on commercial real estate transactions, including acquisitions and financing.
• Prepare and review loan documents and ancillary financing documents.
• Provide guidance on private placements under Regulation D.
• Prepare offering memoranda and compliance filings.
• Oversee associates and support staff, fostering a collaborative environment.
• Manage multiple transactions and projects, ensuring timely delivery.
• Contribute to business development efforts.

Requirements

• Minimum 5 years of experience in corporate law.
• Familiarity with the Securities Act of 1933 and related laws.
• Proven ability to manage complex legal matters.
• Outstanding organizational and document drafting skills.
• Bar admission in Texas or ability to become licensed.
• Exceptional written and verbal communication skills.
• Public speaking and networking skills are a plus.
• An existing book of business is preferred but not required.

Education

• JD from an accredited law school.

• Bar admission (ideally in Texas).
