Duties
- Advise on entity formation and structuring, including LLCs and LPs.
- Draft and negotiate joint venture and partnership agreements.
- Design and oversee investment structures for real estate transactions.
- Advise on commercial real estate transactions, including acquisitions and financing.
- Prepare and review loan documents and ancillary financing documents.
- Provide guidance on private placements under Regulation D.
- Prepare offering memoranda and compliance filings.
- Oversee associates and support staff, fostering a collaborative environment.
- Manage multiple transactions and projects, ensuring timely delivery.
- Contribute to business development efforts.
Requirements
- Minimum 5 years of experience in corporate law.
- Familiarity with the Securities Act of 1933 and related laws.
- Proven ability to manage complex legal matters.
- Outstanding organizational and document drafting skills.
- Bar admission in Texas or ability to become licensed.
- Exceptional written and verbal communication skills.
- Public speaking and networking skills are a plus.
- An existing book of business is preferred but not required.
Education
- JD from an accredited law school.
