Senior Business Transactional AttorneyDirect Counsel is seeking a Senior Business Transactional Attorney with 8+ years of experience to join a sophisticated corporate and business transactions practice serving clients across a broad range of industries. This is an outstanding opportunity for an experienced attorney who enjoys advising businesses through complex transactions, entity structuring, and strategic corporate matters.The ideal candidate will have substantial experience handling business and corporate transactions, providing practical legal advice, and serving as a trusted advisor to business owners, executives, and stakeholders.ResponsibilitiesAdvise clients on a wide range of corporate and business transactionsForm and structure limited liability companies, partnerships, and other business entitiesDraft and negotiate buy-sell agreements, operating agreements, partnership agreements, and related governance documentsHandle entity conversions, restructurings, and other corporate transactionsDraft, review, and negotiate asset purchase agreements and related transaction documentsProvide strategic counsel on corporate governance, ownership transitions, and operational mattersCollaborate with clients and colleagues to manage sophisticated transactions from inception through closingQualifications8+ years of corporate and business transactional experienceSignificant experience with entity formation, governance, buy-sell arrangements, entity conversions, and asset acquisitionsStrong drafting, negotiation, analytical, and client counseling skillsExperience with real estate transactional documents, including leases, purchase and sale agreements, ground leases, and easement agreements, is a plus but not requiredAbility to independently manage complex transactions and maintain strong client relationshipsCalifornia Bar admission requiredCompensation & BenefitsBase salary range: $207,000 – $225,000Annual performance-based and billable hours bonusesMainly Remote – Must reside in California!Reasonable billable hour expectationsCompetitive health insurance benefits and 401(k) with partial matchStrong mentorship and long-term career development opportunitiesThis opportunity offers sophisticated transactional work, direct client engagement, and the chance to advise businesses on critical strategic and operational matters while working within a collaborative and entrepreneurial environment.Qualified candidates are encouraged to apply through Direct Counsel.
