Senior Public Company And Governance Associate Attorney
Location: San Diego, CA (Hybrid)
Experience Level: Minimum 5 years
Compensation Range: $365,000 – $435,000, plus comprehensive benefits
Overview:
Direct Counsel is seeking a Senior Public Company and Governance Associate to join a leading global law firm with a strong focus on life sciences, technology, and digital asset verticals. This is a unique opportunity for a mid- to senior-level attorney to support a nationally recognized capital markets and public company advisory practice based in San Diego.
Responsibilities Include:
- Advising public companies on reporting and compliance under the Securities Act of 1933 and Securities Exchange Act of 1934
- Supporting capital markets transactions
- Preparing periodic reports, proxy statements, and Section 13 and 16 filings
- Providing corporate governance advice and working closely with public company clients
- Collaborating with a dynamic team of attorneys across the firm's national platform
Qualifications:
- J.D. from an accredited law school
- Active California bar license
- Minimum 5 years of capital markets and public company experience
- Experience representing large cap and mid cap public companies
- Strong knowledge of SEC reporting requirements and stock exchange governance rules (Nasdaq, NYSE)
- Prior experience at an AmLaw 100 firm preferred
