Private Equity Fund Formation Associate

A leading law firm is seeking an associate with significant experience in private equity fund formation. The ideal candidate has experience in one or more of the following:

• advising fund sponsors on formation matters (private placement memoranda, partnership agreements, and ancillary documents);
• reviewing fund documentation and negotiating terms on behalf of institutional investors;
• structuring/drafting governing documents for fund management companies and general partners.

A working knowledge of securities regulations, including the Investment Advisers Act, is required. Experience with secondary transactions and/or GP-led restructurings is a plus.

Requirements

• J.D. from an accredited law school
• 3 - 7 years of relevant experience
• Active law license in good standing in the relevant jurisdiction
• Prior Am Law 100 law firm experience required for mid-level and senior roles

Compensation

Base salary ranges vary by level and location - competitive with market for a leading global firm; $230,000-$485,000, plus full benefits (medical/dental/vision, 401(k), disability, life insurance, tuition reimbursement, PTO, and discretionary bonus).
