Our clients New York office is seeking a lateral associate with 3–6 years of experience to join their private equity / corporate practice. The ideal candidate will have substantial experience handling M&A and private equity transactions , strong drafting and negotiation skills, and the ability to manage deal work independently in a fast-paced environment. Recent lateral postings in New York for similar roles emphasize midlevel experience, transaction management, and direct client contact.
Key responsibilities
- Represent private equity sponsors, portfolio companies, and strategic buyers in acquisitions, dispositions, minority investments, recapitalizations, and related corporate transactions.
- Draft and negotiate purchase agreements, disclosure schedules, ancillary documents, equity commitment letters, and other transaction documents.
- Lead diligence workstreams, coordinate closing processes, and manage deal timelines.
- Advise clients on corporate governance, structuring, and general business matters.
- Work closely with partners, clients, lenders, and opposing counsel throughout the transaction.
- Supervise junior associates and support staff as appropriate.
Candidate profile
- 3–6 years of relevant experience at a BIG law firm , preferably in private equity, M&A, leveraged finance, or general corporate practice.
- Strong academic credentials and admission to practice in New York or eligibility for admission.
- Proven ability to run components of transactions with limited supervision.
- Excellent drafting, analytical, and communication skills.
- A commercial mindset, strong work ethic, and comfort with direct client interaction.
Preferred background
- Experience representing private equity sponsors in middle-market or upper-market deals.
- Familiarity with leveraged buyouts, equity rollovers, and management incentive equity.
- Exposure to financing transactions or fund-related matters.
- Prior experience at a large or nationally recognized firm.
