Our clients New York office is seeking a lateral associate with 3–6 years of experience to join their private equity / corporate practice. The ideal candidate will have substantial experience handling M&A and private equity transactions , strong drafting and negotiation skills, and the ability to manage deal work independently in a fast-paced environment. Recent lateral postings in New York for similar roles emphasize midlevel experience, transaction management, and direct client contact.

Key responsibilities

  • Represent private equity sponsors, portfolio companies, and strategic buyers in acquisitions, dispositions, minority investments, recapitalizations, and related corporate transactions.
  • Draft and negotiate purchase agreements, disclosure schedules, ancillary documents, equity commitment letters, and other transaction documents.
  • Lead diligence workstreams, coordinate closing processes, and manage deal timelines.
  • Advise clients on corporate governance, structuring, and general business matters.
  • Work closely with partners, clients, lenders, and opposing counsel throughout the transaction.
  • Supervise junior associates and support staff as appropriate.

Candidate profile

  • 3–6 years of relevant experience at a BIG law firm , preferably in private equity, M&A, leveraged finance, or general corporate practice.
  • Strong academic credentials and admission to practice in New York or eligibility for admission.
  • Proven ability to run components of transactions with limited supervision.
  • Excellent drafting, analytical, and communication skills.
  • A commercial mindset, strong work ethic, and comfort with direct client interaction.

Preferred background

  • Experience representing private equity sponsors in middle-market or upper-market deals.
  • Familiarity with leveraged buyouts, equity rollovers, and management incentive equity.
  • Exposure to financing transactions or fund-related matters.
  • Prior experience at a large or nationally recognized firm.
