Corporate Counsel - It Transactions

Location: New York, NY or Edison, NJ. Please note: Candidate must be willing to go to either office 5 days a week (this is mandatory)

Job Description:

• Reviewing, drafting and negotiating inbound and outbound procurement, sales and revenue generating agreements.
• Reviewing, drafting and negotiating complex IT Services and Outsourcing Agreements including: Master Outsourcing Agreements, Professional Services Agreements, Bids and RFPs, Statements of Work, subcontracting agreements, software licensing, reseller agreements, NDAs, and SOWs.

Qualifications:

• At least 7 - 13 years of relevant work experience in structuring, negotiating, and drafting Outsourcing, IT and Services contracts as a service provider/vendor.
• Must enjoy working with sales teams in the technology and outsourcing industry.
• Must be able to work independently, be self-motivated and have excellent organizational, communication, and problem-solving abilities.
• Must be able to take a pragmatic approach to minimize redlines.
• Must have strong negotiation skills with the ability to understand the customer perspective and reach a solution to protect the organization interests.
• Must enjoy a fast-paced environment with multiple clients and stakeholders.
• Must have experience working with internal stakeholders such as HR, Information Security, finance and to incorporate their comments into the document.

Salary Range: $138,600 - $191,400 a year
