Role Description
Saunders & Saunders is seeking an experienced Utah-licensed business and transactional attorney with at least 15 years of practice experience to join the firm in an Of Counsel role.
The Of Counsel Attorney will advise clients on sophisticated business and commercial matters, including corporate and entity matters, contracts, commercial transactions, mergers and acquisitions, real estate-related transactions, and other business matters.
Day-to-day responsibilities may include drafting and negotiating agreements and other transactional documents, advising clients on business and legal risks, structuring transactions, conducting legal research, and working directly with clients to develop practical solutions to complex issues.
We are looking for an attorney who is a self-starter, highly detail-oriented, practical, responsive, and comfortable independently managing matters and client relationships. The attorney will also collaborate with partners and other attorneys when matters benefit from a team approach.
A book of business is not required. For attorneys interested in developing or expanding their own practices, however, there are significant opportunities to build a book of business within the firm and through their own professional relationships.
This position may be in-office, hybrid, or remote/work-from-home for the right person, consistent with firm needs and excellent client service.
Qualifications
- Active license to practice law in Utah
- At least 15 years of relevant business and transactional law experience
- Significant experience drafting, reviewing, and negotiating sophisticated commercial agreements
- Experience with corporate and entity matters, commercial transactions, mergers and acquisitions, real estate-related transactions, or other sophisticated business matters
- Intellectual property experience, particularly trademark experience, is not required but is a plus
- Strong legal research, analytical, drafting, and negotiation skills
- Excellent judgment and exceptional attention to detail
- Ability to provide clear, practical legal advice to business clients
- Ability to independently manage matters, deadlines, and client relationships
- Self-motivated, responsive, and comfortable working with a high degree of professional autonomy
- Ability to collaborate effectively in a small-firm environment
- Juris Doctor (JD) from an accredited law school
- Colorado licensure or eligibility for admission in Colorado is a plus
