This position is open in the following office locations:Los AngelesCentury CityOrange CountySan DiegoDel MarSilicon ValleyNew York CityChicagoDallasHoustonWashingtonThis opportunity offers the chance to work with nationally recognized nonprofit, charitable, philanthropic, healthcare, and tax-exempt organization clients.Responsibilities:Advise nonprofit and tax-exempt organizations on federal tax-exemption requirements and compliance mattersCounsel clients on nonprofit governance, board practices, conflicts of interest, executive compensation, and organizational policiesAssist with obtaining and maintaining tax-exempt statusAdvise on private foundation rules, UBIT, excess benefit transactions, and Form 990 reporting requirementsStructure relationships between nonprofit and for-profit entitiesSupport nonprofit mergers, reorganizations, dissolutions, and other strategic transactionsConduct legal research and prepare memoranda, opinions, and client communicationsCollaborate with attorneys across tax, healthcare, corporate, and private client practice groupsQualifications:Juris Doctor (JD) from an accredited law school3–6 years of tax-exempt organizations and nonprofit law experienceSignificant experience with tax-exempt organization compliance and nonprofit governance mattersStrong legal research, writing, analytical, and communication skillsAbility to manage multiple matters and work independently when appropriateStrong attention to detail and organizational skillsTeam-oriented mindset with excellent interpersonal skillsLicensed and in good standing with the bar in the applicable jurisdictionPreferred Experience:Healthcare organizations, hospitals, or health plansNonprofit transactions, restructurings, mergers, and dissolutionsPhilanthropic planning for high-net-worth individuals and businessesTransactional matters involving tax-exempt entitiesInternational nonprofit activities and grantmakingCompensation & Benefits:Salary range: $260,000 – $390,000 annuallyCompetitive bonus structure and comprehensive benefits package
