Overview
- The role primarily involves assisting private equity fund sponsors with fund formation matters, specifically preparing and negotiating fund private placement memoranda, partnership agreements, and related ancillary agreements.
- Responsibilities also include reviewing fund documentation on behalf of institutional investors and negotiating fund terms, as well as structuring and drafting governing documents for private equity fund management companies and general partners.
- Candidates should possess a working knowledge of relevant securities rules and regulations, including the Investment Advisers Act.
- Experience with private equity secondary transactions and/or GP-led restructurings is considered helpful for this position.
- Prior experience for this role is preferred at a large law firm or, in special circumstances, in an in-house setting.
