Requirements

  • 1 to 2 years of experience in corporate transactions, ideally with a focus on M&A.
  • JD from an ABA-accredited law school with strong academic credentials.
  • Admission to the Idaho Bar, or willingness to become admitted.
  • Excellent writing, communication, and analytical skills.
  • Experience with corporate restructuring, cross-border transactions, or private equity is a plus.

A leading AmLaw 100 firm is seeking a junior associate to join its Corporate Group in Boise, focusing on M&A and related transactions. The role provides the opportunity to work on a broad array of deals, including acquisitions, divestitures, joint ventures, recapitalizations, and venture capital investments. Key Responsibilities

  • Draft and negotiate purchase agreements, investor rights agreements, and other transactional documents.
  • Support due diligence and manage closing processes.
  • Advise clients on corporate structuring, compliance, and governance matters.
  • Assist with cross-border and multi-jurisdictional transactions.
  • Collaborate with senior attorneys and clients across industries.
