Key responsibilities
Monthly and quarterly close
- Lead review of the monthly and quarterly close: journal entries, account reconciliations, accruals and flux analysis, working with our outsourced and internal preparers.
- Own the close calendar and checklist; drive it to a timeline that supports 10-Q and 10-K deadlines.
- Review R&D accounting, including clinical trial accruals and prepaid balances for CROs, CDMOs and investigator sites, with input from clinical operations.
- Prepare or review technical accounting memos for new agreements and non-routine transactions (financings, warrants, license and collaboration agreements, leases).
SEC reporting
- Prepare and review Forms 10-Q and 10-K, including financial statements, footnotes, MD&A and XBRL tagging review.
- Support Forms 8-K, proxy statement compensation and equity tables, Section 16 support, and registration statements (S-3, S-8, ATM and offering-related filings, comfort letter support).
- Maintain the disclosure checklist, tie-out binders and support packages; coordinate with outside counsel, the financial printer and the Disclosure Committee.
- Monitor new SEC rules and FASB standards and assess their impact on the company.
Equity administration oversight and reporting
- Oversee the equity plan administrator and the equity ledger: grants, exercises, cancellations, share reserve and plan limits.
- Own stock-based compensation accounting under ASC 718: valuation inputs, expense schedules, modifications, and footnote disclosure.
- Prepare EPS and dilution calculations, warrant and option roll-forwards, and equity reporting for the Board and Compensation Committee.
Regulatory financial reporting
- Prepare or coordinate non-SEC financial filings: Nasdaq compliance items, government surveys, state and local filings, and foreign subsidiary statutory reporting as applicable.
- Coordinate with external tax advisors on the income tax provision (ASC 740), R&D credits and related filings.
- Support financial data required for grant, federal healthcare or transparency reporting as the company approaches commercialization.
External audit and internal controls
- Serve as the day-to-day contact for the external auditors on quarterly reviews and the annual audit: PBC lists, timelines, open-item tracking and issue resolution.
- Maintain and improve SOX internal controls over financial reporting: risk assessment, control documentation, key report and IPE support, and remediation of any findings.
- Help prepare Audit Committee materials each quarter.
Building for what is next
- Help design the accounting policies, processes and controls needed for commercial launch: inventory and cost of goods, revenue recognition (ASC 606), gross-to-net, and system improvements.
- Identify and implement process automation in a small-team environment.
Qualifications
Required
- Bachelor's degree in accounting or a related field; active CPA (or all exam sections passed).
- 5 to 8+ years of progressive experience, including Big 4 audit experience at the senior or manager level serving SEC registrants.
- Hands-on experience preparing or auditing Forms 10-Q and 10-K, with strong working knowledge of U.S. GAAP, SEC reporting rules (Regulation S-X and S-K) and SOX 404.
- Working knowledge of stock-based compensation (ASC 718), equity and warrant accounting, and EPS.
- Proven ability to work independently on a small team: you review at a manager level and are equally willing to build the schedule yourself.
- Clear writing. You can draft a footnote, an accounting memo and an Audit Committee slide without heavy editing.
- Strong Excel skills and comfort with a cloud ERP, an equity administration platform and SEC filing/XBRL software.
Preferred
- Experience with public life sciences companies, ideally covering both R&D-stage and commercial-stage pharma or biotech, as an auditor or in industry.
- Familiarity with clinical trial accruals, CRO and CDMO contracts, and license or collaboration agreements.
- Exposure to commercial-launch accounting: inventory, ASC 606 revenue and gross-to-net.
- Experience with capital markets transactions (ATM programs, follow-on offerings, shelf registrations, comfort letters).
- Experience at a smaller reporting company or emerging growth company where one person covers a lot of ground.
- One to three years in industry after public accounting is a plus, not a requirement.

- In your first 12 months you will have led review of four quarter-end closes, filed three 10-Qs and a 10-K on time, run a clean annual audit and SOX cycle as the auditors' day-to-day contact, and taken over equity administration oversight and stock compensation reporting.
