Leveraged Finance Associate Attorney
Direct Counsel is seeking a Leveraged Finance Associate Attorney with 2–6 years of experience to join a leading global law firm and its highly regarded Finance practice.
Locations: Chicago or New York
Position Overview: The ideal candidate will have experience representing private equity sponsors, portfolio companies, and/or financial institutions in sophisticated leveraged finance and debt financing transactions. This role offers the opportunity to work on complex transactions involving acquisition financings, recapitalizations, secured and unsecured lending, and other leveraged transactions.
Responsibilities
- Represent private equity sponsors, portfolio companies, and financial institutions in leveraged finance and debt financing transactions.
- Assist clients in structuring and executing complex financing transactions.
- Draft, review, and negotiate credit agreements, bond indentures, commitment letters, term sheets, security agreements, guarantee agreements, intercreditor agreements, and subordination agreements.
- Advise clients regarding legal risks, regulatory requirements, and market practices affecting leveraged finance transactions.
- Coordinate transaction closings, including preparation of closing checklists and management of transaction documentation and processes.
- Address ongoing compliance and financing-related inquiries.
- Collaborate with clients, opposing counsel, lenders, borrowers, and other transaction participants.
- Utilize AI technologies responsibly and ethically to enhance document review and workflow efficiency.
- Contribute to business development initiatives, including client presentations and thought leadership.
- Monitor legal developments and market trends affecting leveraged finance.
Qualifications
- 2–6 years of relevant leveraged finance or related transactional experience.
- Experience representing private equity sponsors, portfolio companies, and/or financial institutions preferred.
- Strong experience drafting and negotiating complex financing documents.
- Thorough understanding of secured transactions, syndicated lending, and acquisition finance.
- J.D. from an accredited law school.
- Admission in good standing to the New York Bar required.
- Strong analytical, drafting, negotiation, and problem-solving skills.
- Excellent written and verbal communication abilities.
- Ability to manage multiple transactions and deadlines with strong attention to detail.
- Familiarity with AI technologies and their responsible use in legal practice.
- High level of professionalism, judgment, and integrity.
Compensation
The anticipated salary range for this position is $235,000–$390,000 annually, depending on qualifications, experience, and other relevant factors.
