Scope of Work
The Attorney will provide legal counsel to the acquired businesses in the areas of corporate governance, commercial contracting, regulatory compliance, and general corporate matters.
Deliverables and Services
- Drafts, reviews, negotiates, and advises on internal governance documents, corporate resolutions, and other legal documents related to day-to-day operations and commercial transactions.
- Develops and maintains legal templates, playbooks, and best practices to support acquisition workflows.
- Provides legal oversight on integration activities, including commercial terms and operational harmonization.
- Negotiates with existing, new and renewing customers.
- Has a deep understanding of the technology space and is able to close deals with limited supervision.
- Drafts and reviews legal correspondence, memoranda, and opinions as needed.
- Advises and collaborates with Finance, Tax and M&A team on legal matters arising from corporate transactions.
- Manages and oversees due diligence documentation and closing records for acquisitions.
- Oversees maintenance and accuracy of corporate record books and entity management systems.
- Establishes and maintains legal filing systems and document retention protocols.
- Performs other legal projects or duties as assigned, including cross‑functional matters involving finance and accounting.
Qualifications and Skills
- Must be highly detail‑oriented with the ability to independently analyze and draft complex legal documents.
- Highly organized with the ability to manage multiple concurrent matters.
- Strong prioritization skills.
- Self‑motivated with the ability to exercise independent legal judgment.
- Ability to multi‑task effectively in a fast‑paced environment.
- Excellent written and verbal communication skills, including the ability to present legal analysis to senior leadership.
- Ability to properly handle confidential information and records.
- Willing to perform all levels of work.
- Proficient in Microsoft Office (Word, Excel & Outlook).
- Experience in a corporate legal department or law firm corporate practice required.
- Experience with corporate governance and entity management required.
Education and Experience
- Juris Doctor (J.D.) from an ABA‑accredited law school.
- Active bar admission in at least one U.S. jurisdiction.
- 3 or more years of relevant legal experience in corporate law, M&A, or governance.
