As Legal Counsel – Commercial Contracts & MSAs, you'll lead the review, drafting, negotiation, and management of the company's commercial contracts while serving as a trusted business partner to teams across Sales, Operations, Finance, and Executive Leadership. This role is ideal for an attorney who enjoys solving business challenges, balancing legal risk with practical solutions, and growing their expertise in commercial transactions.
Key Responsibilities
- Draft, review, negotiate, and manage Master Service Agreements (MSAs), service agreements, customer contracts, and other commercial agreements.
- Partner with Sales, Operations, and leadership to support customer negotiations while protecting the company's legal and business interests.
- Provide practical legal guidance on commercial terms, risk allocation, indemnification, insurance, liability, warranties, confidentiality, and other contractual provisions.
- Prepare contract redlines, negotiate revisions, and coordinate approvals with internal stakeholders and outside counsel as needed.
- Draft and review related legal documents including NDAs, vendor agreements, subcontractor agreements, independent contractor agreements, employment agreements, and other corporate contracts.
- Manage the contract lifecycle from intake through execution, amendments, renewals, and record retention.
- Complete customer vendor packets, legal questionnaires, and other required contract documentation.
- Coordinate customer requests for certificates of insurance and work with the company's insurance broker to ensure compliance with contractual insurance requirements.
- Research legal and regulatory developments affecting commercial agreements and advise leadership on potential impacts.
- Support corporate governance activities, including entity filings, registrations, and licensing as needed.
- Utilize contract management technology and AI-enabled tools to improve contract review efficiency while applying independent legal judgment.
Qualifications
- Strong knowledge of commercial contract law and contract negotiation.
- Experience drafting and negotiating Master Service Agreements (MSAs) and other commercial agreements.
- Ability to identify legal risk while providing practical, business-focused solutions.
- Strong written, verbal, negotiation, and interpersonal communication skills.
- Excellent organizational skills and attention to detail.
- Proficiency with Microsoft Office; experience with contract lifecycle management systems is preferred.
- Experience using legal technology or AI-assisted contract review tools is a plus.
Education & Experience
- Juris Doctor (J.D.) from an ABA-accredited law school required.
- Licensed attorney in good standing or eligible for admission in Louisiana.
- 2–5 years of experience negotiating commercial contracts, preferably in-house or supporting corporate clients.
- Experience drafting, reviewing, and negotiating MSAs, service agreements, procurement contracts, and other commercial agreements.
- Experience partnering with cross-functional business teams in a fast-paced environment preferred.
