This is an exceptional opportunity for a senior-level attorney to work on complex, high-value fund formation and structuring matters for a diverse client base that includes private equity sponsors, hedge fund managers, credit funds, and other alternative investment vehicles.
The practice is known for its technical depth, collaborative culture, and market-leading work in the funds space.Candidate ProfileJD from an ABA-accredited law school with an excellent academic recordActive Bar Admissionin the relevant jurisdiction, in good standingSignificant experience in investment fund formation, structuring, and ongoing regulatory complianceDeep knowledge of private equity funds, hedge funds, credit funds, and other alternative investment vehiclesExperience advising sponsors and managers on fund governance, disclosures, and regulatory mattersStrong familiarity with U.S. investment management regulations, including the Investment Advisers Act of 1940 and related SEC requirementsAbility to manage complex matters independently and serve as a trusted advisor to sophisticated clientsExcellent oral and written communication skills, sound judgment, and a client-focused approachLarge law firm experience strongly preferredKey ResponsibilitiesAdvise fund sponsors and investment managers on the formation, structuring, and launch of investment funds across multiple asset classesDraft and negotiate fund documentation, including private placement memoranda, limited partnership agreements, operating agreements, and subscription materialsCounsel clients on regulatory compliance matters under federal and state securities lawsProvide ongoing advice regarding fund operations, governance, and investor relationsCollaborate with colleagues across tax, regulatory, and transactional teams to deliver comprehensive legal solutionsStay current on regulatory developments impacting the investment management industryWhy Join Us?This role offers the opportunity to work within a premier Investment Funds practice handling sophisticated matters for leading asset managers and investment sponsors.
