Verrus has been engaged to identify a General Counsel for a high-growth US energy and critical minerals company entering a transformational stage of its development.

The company is progressing towards the US public markets while simultaneously advancing the financing, development and construction of its flagship project.

This creates an opportunity for an experienced legal executive to join at a genuine inflection point and help shape the business through its transition from developer to scaled operating and public company.

The General Counsel will take ownership of the US legal function across:

• SEC, securities and public-company readiness
• Board governance and Corporate Secretary responsibilities
• Financing, capital markets and strategic transactions
• Major project development, construction and commercial agreements
• Regulatory, environmental and permitting matters
• Corporate development, partnerships and joint ventures
• Enterprise risk, compliance and litigation
• Building the legal function and managing external counsel

We are particularly interested in senior legal executives from energy, oil & gas, mining, critical minerals, power, infrastructure and major industrial businesses .

Candidates should bring strong commercial judgement, Board-level credibility and the ability to operate effectively within a lean, entrepreneurial and fast-scaling environment .

Existing General Counsel experience is highly attractive, although exceptional Deputy GC / Associate GC candidates ready to step into the top legal seat will also be considered.

Compensation: Executive-level base salary, STI and long-term incentives
