Remote work is available for candidates based in the Pittsburgh, Pennsylvania area.This is a unique opportunity for an attorney with 1-2 years of transactional experience to join a nationally recognized Fund Formation practice. This is a long-term, non-partnership-track Career Associate position designed for attorneys seeking sophisticated transactional work, mentorship, professional development, and a sustainable work-life balance within a leading global law firm.ResponsibilitiesAssist with the formation of private investment funds, including venture capital, growth equity, impact, and crossover funds.Draft and review limited partnership agreements, private placement memoranda, subscription agreements, side letters, and related fund documentation.Support both sponsor-side and investor-side fund formation representations.Assist with regulatory compliance matters related to private investment funds.Work on co-investment vehicles, secondary transactions, and other fund-related matters.Conduct legal research and assist with transactional due diligence.Collaborate closely with partners and senior attorneys on sophisticated fund formation transactions.Develop a strong understanding of private investment fund structures and the broader venture capital ecosystem.QualificationsJ.D.
