Finance Associate Attorney

Direct Counsel is seeking a Finance Associate Attorney with 4–5 years of experience to join a leading global law firm and its highly regarded Finance practice.

Position Overview

The ideal candidate will have substantial experience handling sophisticated leveraged finance transactions and representing private equity sponsors, corporate borrowers, and/or financial institutions in complex debt financing matters. This role offers the opportunity to work on sophisticated transactions while advising clients on structuring, execution, risk mitigation, and compliance.

Responsibilities
  • Represent private equity sponsors, portfolio companies, corporate borrowers, and financial institutions in leveraged finance and debt financing transactions.
  • Assist clients with the structuring and execution of sophisticated leveraged finance transactions.
  • Draft, review, and negotiate a broad range of financing documents, including:
    • Credit agreements
    • High-yield bond indentures
    • Commitment letters and term sheets
    • Security agreements
    • Guarantee agreements
    • Intercreditor agreements
    • Subordination agreements
  • Provide legal guidance throughout transactions regarding legal risks, compliance, and risk mitigation.
  • Support clients following transaction closings with ongoing financing and compliance matters.
  • Collaborate with attorneys and professionals across a global team.
  • Monitor industry trends, market practices, and legal developments affecting leveraged finance.
Qualifications
  • 4–5 years of leveraged finance experience at a large law firm.
  • Experience representing private equity sponsors, corporate borrowers, and/or lenders in leveraged finance transactions.
  • Strong understanding of sophisticated debt financing transactions and related documentation.
  • Excellent drafting, analytical, and problem-solving skills.
  • Exceptional attention to detail and ability to manage multiple matters effectively.
  • Strong academic credentials.
  • J.D. from an accredited law school.
  • Admission in good standing to the Massachusetts Bar required.
  • Experience working in a global, team-oriented environment preferred.
  • Strong communication and client service skills.
Compensation

The anticipated salary range for this position is $310,000–$390,000 annually, depending on qualifications, experience, and other relevant factors.
