Executive Compensation AssociateDirect Counsel is seeking an Executive Compensation Associate with 4–6 years of experience to join a nationally recognized Executive Compensation practice. This is an exceptional opportunity to advise leading technology companies, life sciences companies, and Fortune 500 businesses on sophisticated executive compensation, equity compensation, securities, tax, and transactional matters.The practice works closely with public companies, emerging growth companies, and private equity-backed businesses on complex compensation issues and plays a significant role in high-profile mergers and acquisitions and capital markets transactions.LocationsThis position is open to:Silicon Valley, CASan Francisco, CASanta Monica, CANew York, NYBoston, MAResponsibilitiesAdvise public and private companies on executive compensation and equity incentive mattersSupport mergers and acquisitions, financings, IPOs, and other strategic corporate transactionsCounsel clients on compensation-related securities law and tax issuesDraft, review, and negotiate executive employment agreements, equity award agreements, and incentive compensation arrangementsAdvise on public company reporting and disclosure obligations relating to executive compensationAnalyze and advise on compensation issues arising under applicable tax and securities lawsCollaborate closely with corporate, M&A, capital markets, tax, and employment attorneys on complex transactionsQualifications4–6 years of executive compensation experienceStrong background advising on executive compensation, equity compensation, and employee incentive arrangementsExperience supporting mergers and acquisitions and capital markets transactionsWorking knowledge of: Internal Revenue Code Sections 409A, 280G, 83, and 421–424Securities laws governing employee incentive and equity compensation plansStrong tax and securities law experienceSuperior academic credentialsExcellent oral, written, analytical, and interpersonal skillsAdmission in the applicable jurisdiction requiredCompensation & BenefitsBase salary range: $310,000 – $390,000Discretionary bonus opportunityComprehensive health and wellness benefitsHybrid work environmentOpportunity to work on cutting-edge executive compensation and transactional matters for leading technology and life sciences companiesCollaborative team with significant mentorship and client exposureDirect Counsel is committed to connecting exceptional legal talent with premier law firms and fostering inclusive hiring practices.
