This company is committed to supporting complex corporate transactions and delivering exceptional client service while fostering a collaborative and inclusive workplace culture.What You Will DoLead the executive compensation workstream in high-stakes corporate transactions, ensuring comprehensive advisory support for boards, companies, and executives.Manage diligence reviews, identifying liabilities and deal risks related to benefit plans and executive arrangements.Collaborate with corporate, tax, and governance teams to draft and negotiate transaction agreement provisions concerning employee benefits and executive compensation.Advise on equity award treatment in transactions, including cash-out, assumption, conversion, acceleration, and retention packages.Structure and document executive employment agreements, severance arrangements, and equity incentive plans with precision.Analyze and resolve complex tax issues related to Sections 409A, 280G, and 162m, ensuring compliance and strategic advantage for clients.Ideal Candidate BackgroundJuris Doctor (JD) degree with 4–8 years of experience in executive compensation and benefits from a major law firm.Proven track record of advising on executive compensation matters in complex corporate transactions.Strong understanding of public company disclosure and experience with compensation committee counseling.Familiarity with cross-border equity arrangements and their implications in corporate settings.PreferredExperience supporting M&A, private equity, spin-offs, IPOs, and restructuring matters related to executive compensation.Demonstrated ability to lead teams and manage multiple projects simultaneously in a fast-paced environment.Compensation and BenefitsThe base salary for this role ranges from $390K to $455K, reflecting the seniority and expertise required.
