Carnegie Point is a middle‑market investment bank advising founder‑and family‑owned businesses on mergers, acquisitions, and capital transactions. We are seeking a highly technical finance professional to join our Charlotte office as Director – Financial Analysis & Transaction Execution .
This is not a traditional corporate finance or FP&A role. We are looking for someone with a strong Transaction Advisory, Financial Due Diligence, or Quality of Earnings background who can serve as a senior financial resource across our active M&A engagements.
The ideal candidate is currently a Senior Manager, Director, or equivalent within a Transaction Advisory or Financial Due Diligence practice and is looking for an opportunity to assume broader responsibility and play a central role in the execution of middle‑market transactions.
The Role
The Director will work directly with Carnegie Point’s senior bankers, deal teams, and clients to ensure that financial information is accurate, well-supported, and ready for the market.
You will be expected to independently assess a company’s financial performance, identify issues before buyers do, determine what additional analysis is required, and help translate complex financial information into a clear and compelling investment story.
This position will carry significant responsibility from the beginning and will serve as a key financial quality‑control resource across the firm’s transaction portfolio.
Carnegie Point is also actively incorporating artificial intelligence and modern analytical tools into its transaction processes. We are particularly interested in candidates who are already using—or are eager to use—AI to improve the speed, depth, consistency, and quality of financial analysis. The successful candidate will combine sophisticated financial judgment with technology to produce better work, identify issues earlier, and help the firm continuously improve how transactions are executed.
Key Responsibilities
- Lead the financial‑analysis and financial‑readiness process for active M&A engagements.
- Review historical financial statements, trial balances, general ledgers, and management reporting.
- Analyze monthly revenue, gross profit, EBITDA, margins, cash flow, and other key operating trends.
- Develop and critically evaluate Adjusted EBITDA and normalization schedules.
- Identify unusual, nonrecurring, or unsupported adjustments and work directly with management to substantiate them.
- Perform Quality of Earnings‑style analysis in advance of third‑party diligence.
- Analyze customer concentration, revenue composition, profitability trends, working‑capital performance, and other key financial and operational drivers.
- Develop and review working‑capital analyses and evaluate their potential transaction implications.
- Reconcile financial information across source systems and identify inconsistencies, missing information, or areas requiring further diligence.
- Review financial models, projections, and their underlying assumptions.
- Take primary responsibility for the financial sections of Confidential Information Memoranda, management presentations, buyer materials, and other transaction deliverables.
- Anticipate the financial questions and challenges likely to arise during buyer underwriting and diligence, and prepare the deal team and client accordingly.
- Review and provide quality control over analyst and associate financial work.
- Work directly with third‑party accounting firms and Quality of Earnings providers.
- Support financial diligence, buyer Q&A, and negotiations involving EBITDA, working capital, and other financial matters throughout the transaction process.
- Use AI‑enabled tools and other technologies to accelerate data review, identify anomalies, test financial relationships, enhance analytical depth, and improve the consistency and quality of transaction deliverables.
- Help determine where AI can responsibly improve financial workflows while maintaining appropriate professional judgment, confidentiality, verification, and quality control.
- Help establish, document, and continuously improve Carnegie Point’s internal standards for financial analysis and transaction execution.
What We’re Looking For
- Approximately 7–10+ years of relevant professional experience.
- Significant experience in Transaction Advisory Services, Financial Due Diligence, Quality of Earnings, or a closely related discipline.
- Senior Manager, Director, or equivalent experience preferred.
- Strong understanding of GAAP financial statements and transaction‑accounting concepts.
- Advanced ability to analyze income statements, balance sheets, cash flows, general ledgers, and large financial datasets.
- Demonstrated experience analyzing, validating, and defending EBITDA adjustments.
- Strong understanding of working capital and its role in M&A transactions.
- Advanced Excel and financial‑analysis capabilities.
- Ability to take imperfect or incomplete financial information and independently determine what is missing, what matters, and what needs to be corrected.
- Experience using AI, data‑analytics, automation, or other modern technology tools to improve financial analysis, diligence, or transaction execution is strongly preferred.
- Intellectual curiosity and a willingness to test and adopt new tools that improve efficiency and work quality without sacrificing accuracy or sound financial judgment.
- Strong written and verbal communication skills.
- Comfortable interacting directly with business owners, CFOs, controllers, senior bankers, buyers, and third‑party advisors.
- High attention to detail combined with the ability to understand the broader transaction and investment thesis.
A CPA is valuable but not required. Transaction experience, demonstrated financial judgment, and the ability to use technology intelligently are more important than credentials alone.

The successful candidate will understand that AI is a tool for expanding professional capability— not replacing professional judgment. This person will know how to use technology to move faster, test more information, identify issues earlier, and raise the quality of the work while remaining personally accountable for every conclusion and deliverable.
This role is well suited for someone who has developed deep technical expertise within an accounting or advisory firm but wants broader ownership, greater exposure to the full M&A process, and a more direct role in transaction outcomes.
Compensation
Base Salary: $150,000
Competitive performance‑based bonus opportunity, with expected total compensation of $200,000 or more depending on individual and firm performance.
