Job Title: Director Senior Counsel – Energy & Infrastructure
Comp: $200,000-220,000
Location: San Antonio (3 days on-site 2 days work from home)
A leading U.S. energy and infrastructure organization is seeking a **Director, Senior Counsel** to join its Legal team and provide strategic legal advice across a broad range of complex business matters.
The successful candidate will be a commercially minded attorney capable of providing proactive legal guidance to senior business stakeholders, managing complex and time-sensitive matters, and working independently while collaborating closely with colleagues across the Legal function and wider organization.
This is a high-visibility role reporting directly to a senior member of the Legal leadership team, with responsibility for advising internal clients on a diverse portfolio of legal, regulatory, commercial, employment and operational matters.
Requirements
- Active license and good standing with a U.S. state bar; Texas admission preferred or ability to obtain admission within an appropriate timeframe.
- Significant experience as a practicing attorney, ideally gained within a sophisticated law firm or corporate legal department.
- Strong experience advising clients on employment and broader corporate legal matters.
- Demonstrated ability to provide practical, commercially focused advice to senior business and HR stakeholders.
- Excellent drafting, negotiation, communication and interpersonal skills.
- High degree of professional judgment, ethics and integrity.
- Ability to manage multiple short- and long-term priorities within a high-volume environment.
- Strong analytical, organizational and problem-solving capabilities.
- Ability to navigate complex or ambiguous legal issues and provide clear, actionable recommendations under tight deadlines.
- Strong business acumen and an understanding of the commercial implications of legal advice.
- Demonstrated ability to collaborate effectively with Legal, senior management, business stakeholders, vendors and external counsel.
- Ability to manage and prioritize work independently while maintaining strong internal communication.
Responsibilities
- Provide strategic and day-to-day legal advice to internal business clients on complex commercial, operational, regulatory and employment matters.
- Develop practical legal solutions and guide stakeholders through implementation.
- Identify material legal, regulatory and commercial risks and escalation significant issues to senior Legal leadership.
- Build strong relationships with business stakeholders and proactively support organizational objectives.
- Draft, review and negotiate a broad range of commercial agreements and other legal documentation.
- Advise on procurement, contracting, financing, real estate and other strategic business transactions.
- Support pre-litigation and litigation matters, including the management of external counsel and associated legal spend.
- Advise internal stakeholders on state and federal regulatory requirements and proceedings.
- Provide guidance regarding legal and regulatory compliance across business operations.
- Research and analyze emerging legal, regulatory and market developments and communicate their implications to senior stakeholders.
- Prepare legal memoranda, agreements, policies, procedures and other supporting documentation.
- Collaborate with internal subject-matter experts and external counsel where appropriate.
- Review business initiatives and documentation to identify potential legal, regulatory and commercial risks.
- Provide guidance on compliance, audits, investigations and interactions with regulatory authorities.
- Manage and support junior legal team members as required.
- Perform other legal and strategic responsibilities as assigned.
