BRIEF POSITION SUMMARY
Director, Assistant General Counsel serves as a generalist legal advisor, manager of the department's front-line staff, and a strategic legal advisor supporting the company's corporate governance, SEC compliance, and entity management matters. The role reports to the Senior Vice President, General Counsel & Corporate Secretary and assists the General Counsel with key legal functions.
DUTIES AND RESPONSIBILITIES
- Generalist Legal Advisor:
- Negotiate and advise business partners on complex commercial agreements and transactions, including customer agreements, vendor agreements, and technology-related agreements.
- Advise and counsel business partners on business disputes, regulatory compliance, and contract compliance.
- Protect intellectual property assets, including trademarks and patents.
- Monitor legal developments and advise on regulatory impacts.
- Collaborate with cross-functional teams (Sales, Category Management, Operations, Finance, and Tax) to develop risk-balanced solutions to legal issues.
- Coordinate with external counsel on specialized legal matters.
- Manager of Front-Line Staff:
- Provide direct management responsibility for a small team of lawyers and legal professionals.
- Supervise staff on complex legal issues and provide support on matters as needed.
- Corporate Governance:
- Advise on corporate governance matters and support board operations.
- Draft and review corporate policies and procedures.
- Ensure compliance with internal governance frameworks.
- Support board and committee operations.
- SEC Compliance:
- Provide counsel on SEC filings and ensure compliance with securities regulations.
- Monitor changes in securities laws and regulations.
- Ensure timely and accurate public disclosures.
- Liaise with external counsel and auditors on compliance matters.
- Subsidiary Governance & Corporate Entity Management:
- Maintain corporate records and entity databases.
- Manage legal aspects of subsidiary operations.
- Ensure proper authorization and documentation for entity actions.
- Coordinate with tax and finance teams on entity structuring.
QUALIFICATIONS
- Juris Doctor (JD) from an accredited law school.
- Licensed to practice law in any jurisdiction.
- Minimum 10 years of combined experience in a law firm and corporate legal department (preferably in a publicly traded company) with demonstrated experience performing the duties and responsibilities listed above.
- Strong interpersonal, verbal, and written communication skills.
- Highly detail-oriented with excellent organizational and multitasking abilities.
- Proficient in Microsoft Office Suite (Word, Outlook, Excel, PowerPoint) and Adobe Acrobat.
- Ability to interpret complex documents and optimize processes.
- Strong time management and follow-up skills.
What Would Be Preferred
- Experience in securities law and in the distribution, industrial, or manufacturing sectors.
- Demonstrated project management skills.
- Experience with Salesforce, DocuSign, and Smartsheet or similar platforms.
Other Requirements
- A valid driver's license is required.
- Position requires up to 10% travel.
- May require access to International Traffic in Arms Regulations Information (ITAR) and/or Controlled Unclassified Information (CUI).
COMPENSATION
Starting salary range: $132,200 - $207,680, dependent on candidate location and experience.
