Acting as chief legal advisor to the CFO, this role shapes strategy on capital, investments and corporate structure rather than reviewing decisions after they're made. Responsibilities include running the legal side of acquisitions and divestitures - due diligence, antitrust and CFIUS filings - alongside structuring equity, debt and securities lending deals. Three specialist legal functions sit under this position, covering M&A, capital markets and corporate transactions.
The role:
- Counsel senior leadership on governance matters across the supported entities.
- Direct legal support for core operations in line with group legal policy.
- Serve as the primary regulatory contact for M&A-related matters.
- Handle non-claims litigation, regulatory examinations and other legal issues as they come up.
- Partner with compliance leadership to uphold strong governance and oversight.
- Manage talent development and budget planning for the legal team.
- Support Legal Operations on ongoing process improvement projects.
What you’ll need:
- A Juris Doctor from an accredited law school.
- Admission to practise law in at least one US state.
- Substantial background advising US financial services companies, whether in-house or in private practice.
- Solid grasp of financial services regulation, corporate finance, governance and M&A matters.
