Debt Finance AssociateDirect Counsel is seeking a Debt Finance Associate with 3–6 years of experience to join a growing and sophisticated Debt Finance practice in Columbus. This is an excellent opportunity for an attorney looking to work on a broad range of financing transactions while representing lenders, borrowers, private equity sponsors, debt funds, and financial institutions on complex credit facilities and secured lending matters.The ideal candidate will have substantial experience handling debt finance transactions from inception through closing and be comfortable managing sophisticated financing matters in a fast-paced environment.ResponsibilitiesRepresent arrangers, agents, lenders, and borrowers in syndicated and bilateral credit facilitiesDraft, review, and negotiate: Credit and loan agreementsSecurity agreementsGuaranteesIntercreditor agreementsSubordination agreementsPromissory notesFee lettersCommitment lettersTerm sheets and amendmentsAdvise clients on secured lending transactions and collateral matters under UCC Articles 8 and 9Conduct transaction due diligence, including review of organizational documents, searches, management agreements, and disclosure schedulesNegotiate and coordinate third-party deliverables, including control agreements, bailee waivers, insurance endorsements, and related documentsOrganize and manage complex financing closingsCollaborate with private equity sponsors, debt funds, banks, and middle-market companies on sophisticated financing transactionsQualifications3–6 years of debt finance or banking experienceExperience representing lenders and/or borrowers in syndicated and bilateral credit facilitiesExperience with: Secured term loansAsset-based lending facilitiesCash flow credit facilitiesLeveraged acquisition financingsFirst lien, second lien, and unsecured facilitiesStrong drafting and negotiation experience involving financing documentsKnowledge of secured transactions and UCC Articles 8 and 9Experience managing transaction closings and financing due diligenceFor candidates with 4+ years of experience, familiarity with legal opinions and opinion diligence is preferredActive Ohio Bar admission requiredPreferred ExperienceMiddle-market secured lending transactionsVenture debt financingsInvestment-grade financingsCross-border financingsProject finance transactionsRestructuring and workout mattersFirst lien, second lien, and mezzanine financings across a variety of industriesCompensation & BenefitsCompensation is determined based on experience, qualifications, geographic market, and other relevant factorsPerformance- and hours-based bonus opportunitiesComprehensive benefits packageHybrid work environmentOpportunity to work on sophisticated debt finance transactions with national clientsSignificant client exposure and hands-on responsibilityCollaborative team environment with strong mentorship and professional development opportunitiesDirect Counsel is committed to connecting exceptional legal talent with premier law firms and fostering inclusive hiring practices.
