Counsel (1940 Act Attorney)

Mid To Senior Level AttorneyCompany is hiring a mid to senior level attorney that specializes in the Investment Company Act of 1940. The preferred candidate is advanced technically and is adept at interacting with management, external counsel and clients. Counsel reviews regulatory filings, including prospectuses, statements of additional information, proxy statements, supplements and fidelity bond filings; prepare mutual fund board materials, including board books, minutes and other corporate governance documentation.

Ensure client deliverables are prepared timely and accurately. Ensure client satisfaction and resolve issues. Ensure deliverables are prepared timely, accurately and in compliance with department and Fund policies and procedures and tax regulations.

In addition, Counsel supports the business and product development process.Job RequirementsSummary of Essential Job Functions:Identify, address and develop strategies to resolve issues relating to Federal securities laws as they impact on existing and new product offeringsReview regulatory filings and proxy statementsSet priorities, meet deadlines and handle multiple projects in a fast-paced environmentPrepare and maintain board materials, record minutes, maintain compliance calendarsCommunicate and interact with senior management, in-house and outside legal advisors, clients, vendors and co-workersMinimum Requirements:Minimum five years of working knowledge of the Investment Company Act of 1940, regulatory experience or mutual fund experience or strong self-learning potentialDemonstrated advanced analytical, problem solving and organizational skillsDemonstrated ability to multi-task, time manage and work independentlyAdvanced oral and written communications and ability to communicate at all levelsEducation Requirements:Four year degreeA law degree with mutual fund industry or regulatory experience
