Our client is seeking a Corporate Tax Attorney with 5+ years of experience advising businesses on pass-through entity structures, partnership taxation, and corporate transactions. The ideal candidate will have experience counseling clients on entity formation and governance while providing practical tax guidance for complex business transactions.

Responsibilities

• Advise clients on the formation, structuring, and ongoing operation of pass-through entities, including LLCs, partnerships, and joint ventures.
• Draft and negotiate operating agreements, partnership agreements, joint venture agreements, and other governance documents.
• Counsel clients on partnership tax planning and business structuring.
• Prepare tax opinions and provide strategic tax advice related to corporate transactions.
• Support mergers, acquisitions, financings, and other transactional matters involving tax-sensitive structures.
• Collaborate with attorneys across the firm's corporate, finance, and real estate practices.
• Build and maintain strong client relationships while delivering practical, business-oriented legal solutions.

Qualifications

• J.D. from an accredited law school.
• Active Illinois Bar admission and good standing.
• 5+ years of experience advising clients on:
  • Pass-through partnerships
  • Joint ventures
  • LLC operating agreements
  • Partnership agreements
  • Corporate tax planning
  • Tax strategy and tax opinions
• Excellent drafting, analytical, and communication skills.
• Strong organizational skills with the ability to manage multiple matters simultaneously.
• Self-motivated with exceptional attention to detail.
• CPA designation is a plus but not required.
