Qualifications
- J.D. from an accredited law school
- Active admission to the New York Bar
- 5+ years of corporate securities experience in a law firm and/or in-house legal department
- Strong experience preparing and managing SEC filings
- Thorough understanding of public company reporting requirements and corporate governance matters
- Experience supporting securities offerings and strategic transactions
- Exceptional drafting, analytical, and client counseling skills
- Ability to independently manage matters while collaborating effectively within a team environment

What You'll Do
- Advise public and private companies on Securities Act and Exchange Act compliance matters
- Draft and review SEC filings, including periodic reports, current reports, proxy statements, registration statements, and Section 16 filings
- Counsel clients on corporate governance, board matters, disclosure controls, and compliance obligations
- Support capital markets transactions, including public offerings, private placements, and related due diligence
- Assist with mergers, acquisitions, and strategic corporate transactions involving securities and disclosure considerations
- Coordinate with auditors, underwriters, transfer agents, and other external advisors
- Monitor regulatory developments and provide practical guidance to clients and internal stakeholders
