Corporate ParalegalA sophisticated and growing business law firm in New York City is seeking a seasoned Corporate Paralegal to support its expanding corporate and transactional practice. This role requires a highly experienced professional who can independently manage corporate filings and serve as a key member of transactional deal teams.The firm is looking for someone confident handling Delaware, SEC, and UCC filings with minimal supervision.Key ResponsibilitiesPrepare and file corporate formation and qualification documents (with strong emphasis on Delaware entities)Handle SEC filings (including Form D, Section 16, and related documentation as applicable)Conduct UCC searches and prepare/file financing statementsMaintain corporate minute books, capitalization tables, and governance recordsSupport M&A, venture capital, and private equity transactionsManage due diligence processes and closing logisticsCoordinate multi-jurisdictional filings and regulatory submissionsInterface directly with clients, state agencies, and third-party service providersQualifications5+ years of corporate paralegal experience (law firm experience required)Demonstrated experience with:Delaware corporate filingsSEC filingsUCC searches and filingsStrong transactional experience supporting M&A and financing mattersAbility to manage multiple deadlines in a fast-paced environmentExceptional attention to detail and organizational skillsWhat the Firm OffersHybrid schedule (3 days in office / 2 remote)Competitive base salary + performance bonusComprehensive medical, dental, and vision coverage401(k) with employer contributionProfessional development supportCollaborative, growth-oriented team environment
