Corporate Paralegal - Hedge Fund

A leading global investment firm is seeking a highly organized and detail-oriented Corporate Paralegal to join its Legal and Compliance team. This role will be primarily responsible for supporting the firm's global entity management function and corporate governance activities across a large portfolio of domestic and international legal entities.

The successful candidate will work closely with attorneys, compliance professionals, tax teams, finance professionals, and external service providers to ensure the effective administration and maintenance of the firm's corporate structure

Responsibiliti

• esManage the day-to-day administration of a large portfolio of domestic and international legal entitie
• s.Maintain corporate records, minute books, governance documents, and entity database
• s.Coordinate entity formations, dissolutions, mergers, restructurings, name changes, and other corporate transaction
• s.Prepare board, shareholder, manager, and committee resolutions, consents, and related governance documentatio
• n.Assist with annual filings, qualifications, registrations, and other statutory compliance requirement
• s.Support legal entity governance initiatives and corporate secretarial processe
• s.Coordinate with external counsel, registered agents, and corporate service providers across multiple jurisdiction
• s.Monitor filing deadlines and maintain corporate calendars to ensure ongoing complianc
• e.Assist with internal audits, regulatory examinations, due diligence requests, and information gathering project
• s.Support legal, compliance, tax, treasury, and finance teams on entity-related matters and special project
• s.Contribute to process improvements, automation initiatives, and data integrity efforts within the entity management functio
