A highly respected New York City law firm is seeking a Corporate M&A Associate with 3+ years of experience to join its sophisticated transactional practice. This is an outstanding opportunity to work on middle-market and complex transactions while advising entrepreneurs, private companies, investors, and business owners on transformative corporate matters.

Compensation & Benefits

Salary Range: $165,000 - $190,000 , commensurate with experience.

Qualifications

  • J.D. from an accredited law school.
  • Active membership in the New York Bar and good standing.
  • Minimum of 3 years of corporate M&A experience at a law firm.
  • Strong drafting and negotiation skills with experience handling core transaction documents.
  • Experience managing due diligence workstreams and coordinating with clients and deal teams.
  • Ability to manage multiple transactions simultaneously in a fast-paced environment.
  • Exceptional analytical, communication, and client service skills.

Key Responsibilities

  • Support and lead deal processes involving mergers, acquisitions, stock purchases, asset purchases, and joint ventures.
  • Assist with strategic investments, venture capital transactions, and private equity matters.
  • Draft, review, and negotiate letters of intent, purchase agreements, disclosure schedules, and ancillary transaction documents.
  • Manage legal due diligence processes, including reviewing diligence materials, identifying key risks, and preparing summaries and issue lists.
  • Coordinate transaction closings, including checklists, signature packages, deliverables, and related logistics.
  • Work closely with tax, employment, intellectual property, and real estate specialists to identify and resolve transaction-related issues.
  • Review and advise on commercial agreements and general corporate matters.
  • Support ongoing corporate governance and entity management work for clients.
