Following a recent public offering, the company is expanding its legal department to support its continued growth and evolving corporate governance needs. Securities & Corporate Counsel Role
- Lead the preparation, review, and coordination of SEC filings, including Forms 10 K, 10 Q, 8 K, proxy statements, and Section 16 filings.
- Coordinate with Finance, Accounting, Investor Relations, executive leadership, and outside counsel throughout SEC reporting cycles.
- Support compliance with U.S. securities laws, SEC regulations, and stock exchange listing requirements.
- Maintain disclosure controls, procedures, and corporate governance documentation.
- Prepare board and committee materials and assist with board meetings, shareholder meetings, and proxy processes.
- Maintain corporate records in partnership with the legal support team.
- Draft, review, negotiate, and advise on a variety of commercial agreements.
- Provide legal guidance on corporate governance matters and general business law issues.
- Monitor changes in securities regulations and assist with implementing new compliance requirements.
- Assume increasing responsibility for the company's public company reporting function as responsibilities transition from outside counsel to the internal legal department.
- Support additional corporate legal initiatives and special projects as business needs evolve.
Qualifications
- Juris Doctor (J.D.) from an accredited law school.
- Licensed to practice law in Texas or eligible for in house counsel registration.
- Five years of legal experience, preferably with a publicly traded company or a law firm representing public company clients.
- Strong knowledge of securities law, corporate governance, and general business law.
- Experience supporting SEC filings, securities compliance, or other transferable public company legal matters.
- Experience drafting, reviewing, and negotiating commercial contracts.
- Strong analytical, drafting, negotiation, and organizational skills.
- Ability to independently manage multiple priorities while maintaining exceptional attention to detail.
- Excellent written and verbal communication skills.
- Business oriented self starter with the ability to develop practical and creative legal solutions.
- Highest level of integrity and professionalism.
Preferred
- Experience supporting Forms 10 K, 10 Q, 8 K, proxy statements, or Section 16 filings.
- Experience working closely with boards of directors, executive leadership, and cross functional business teams.
- Previous experience coordinating with outside counsel on securities reporting matters.
