Corporate Counsel

The Corporate Counsel provides legal support across a broad range of corporate matters under the supervision of the Assistant General Counsel. This position is designed for a newly licensed attorney or an attorney with up to 2 years of experience who is interested in developing a well-rounded in-house legal career. The successful candidate will work closely with AMT's Leadership team to identify legal risks, provide practical advice, and support the company's strategic objectives while ensuring compliance with applicable laws and regulations.

Duties and responsibilities include:

  • Review, draft, negotiate, and manage a variety of commercial agreements, including NDAs, vendor agreements, sales agreements, distribution agreements, and terms and conditions of sale.
  • Conduct legal research and prepare memoranda on a variety of business issues.
  • Provide legal support and advice for various AMT Departments across a variety of different areas of law (employment, intellectual property, international, etc.).
  • Support the Assistant General Counsel with litigation management by coordinating with outside counsel, gathering documents, and managing requests.
  • Help develop and deliver employee training on legal and compliance topics.
  • Monitor changes in applicable laws and regulations.
  • Participate in cross-functional projects involving various AMT Departments.
  • Perform other legal responsibilities as determined or assigned.

Preferred requirements include:

  • 0-2 years of in-house counsel experience.
  • Internship, clerkship, or prior experience in a corporate legal department.
  • Experience with contract drafting, review, and negotiation.
  • Experience using legal research platforms (for example, Lexis+).
  • Minimum qualifications include:

    • Juris Doctor (J.D.) from an ABA-accredited law school.
    • Licensed to practice law in the State of Ohio.
    • Excellent legal research, writing, and analytical skills.
    • Strong interpersonal and communication skills.
    • Ability to explain complex legal concepts in practical business terms.
    • Strong organizational skills and attention to detail.
    • Ability to manage multiple priorities in a fast-paced environment.
    • High ethical standards and sound professional judgment.
